ROY S. RYNIKER 

Roy S. Ryniker is President and founder of the Reorganization Alternatives Group, Ltd.  He has over twenty five years experience in consulting and investment banking working for management groups, investors, and creditors in effecting the turnaround and recapitalization of both under-performing and growing companies.  

Mr. Ryniker holds an undergraduate degree, magna cum laude in Economics, from Harvard University and a Masters in Business Administration from the Columbia University Graduate School of Business.  He is a Certified Public Accountant (CPA) and a Chartered Financial Consultant (ChFC). 

Mr. Ryniker served on the U.S. Small Business Administration Advisory Council.  Additional activities include current Board Member and former President of the Harvard Club of Long Island, Executive Director of the Harvard Summer Fellowship Program, Turnaround Management Association Board of Directors, Board of Directors of the Southwest Brooklyn Industrial Development Corp, Board of Directors of the Business Information Network, Chairman of the Garden City Citizens’ Budget Review Committee, the American Bankruptcy Institute, Columbia Business School Alumni Club of New York and the Harvard Club of New York City.

Mr. Ryniker’s experience includes expertise in the following areas:

Mergers and Acquisitions advising both sellers and buyers on valuations, identifying potential buyers/sellers, negotiating letters of intent and purchase offers, arranging financing and negotiating financing terms and conditions with both seller and outside capital sources, assistance with due diligence investigations, negotiating employment contracts, and other transaction closing requirements.

Arranging Debt Financing – assisting companies in obtaining and structuring senior and subordinated credit facilities: lines of credit, letter of credit facilities, term loans and mortgage financing. 

Recapitalizations assisting under-performing companies in negotiating to settle their existing mortgages, lines of credit and term loans in return for: a discounted payoff amount, an exchange of debt for a common stock equity position, and an exchange of debt for common stock warrants.

Restructuring Existing Indebtednessexperienced in negotiating modifications to existing indebtedness including changes in principal balances due, interest rates, amortization schedules, maturity dates, and collateral positions.  Experience also includes modifying Industrial Development Agency Bonds and supporting letters of credit.

Resolving Partner/Shareholder Disputes work with partners and shareholders in resolving disputes, outcomes including the acquisition of the partners’/shareholder’s business interests by other partners/shareholders, establishing Employee Stock Option Programs to over time adjust stakeholders equity interests, and employment agreements with adjustable benefit packages.

Prior to founding the Reorganization Alternatives Group, Ltd. in 1989, Mr. Ryniker’s previous positions included investment banking with the Schroder Wagg Group (1983-84), Senior Manager with the Touche Ross Financial Services Center Management Consulting Group (1984-89), and general management with the Metropolitan Life Insurance Company (1979-81).
